Terms of Service

1. Agreement to Terms

By accessing or using ExecFit AI at execfitai.com or any associated subdomain, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, do not use the platform.

These Terms constitute a legally binding agreement between you and EXECFIT.AI LLC ("ExecFit AI", "we", "us", or "our"). We may update these Terms from time to time. Material changes will be communicated by email at least 14 days before they take effect.

2. The Platform

ExecFit AI is an AI-powered executive talent marketplace. We provide assessment, culture intelligence, and matching services to executive candidates and company clients. Our platform enables:

• AI-assisted analysis of psychometric assessments and structured interviews
• Generation of Executive Intelligence Reports for candidates
• Culture Intelligence Profiling for companies
• Anonymised matching between candidates and company searches
• Facilitated introduction and connection requests

3. Use of Artificial Intelligence

ExecFit AI uses large language models provided by Anthropic (Claude) throughout the platform, including for document analysis, structured interviewing, report generation, and culture-fit scoring.

• AI scores are directional signals, not standardised psychometric test scores
• AI does not make employment decisions. All hiring decisions remain with the company.
• We do not use your data to train AI models
• By using the platform you consent to AI-assisted analysis of your submitted data
• You will always be informed when AI analysis is applied to your information

ExecFit AI reports are professional tools to support human judgment. They are not psychological diagnoses, medical assessments, or legally binding evaluations of any kind.

4. Candidate Terms

Eligibility and account

• You must be 18 years of age or older to use the platform
• One account per person. Multiple accounts for the same individual are prohibited.
• You are responsible for the accuracy and authenticity of all documents you upload
• Uploading false, fabricated, or fraudulently obtained assessment reports is grounds for immediate account termination

Your report and data

• Your Executive Intelligence Report belongs to you. It is a portable credential.
• You control who sees your profile and may turn off marketplace visibility at any time from your dashboard
• Your identity remains anonymous to companies until you explicitly accept an introduction request
• If invited directly by a company, your completed report will be shared with that company upon your acceptance

Assessment limits

• Maximum 2 report regenerations per assessment cycle
• The structured interview (Aria) may only be retaken after a minimum of 6 months from the prior session
• ExecFit AI reserves the right to flag and review accounts that appear to be gaming the assessment process

5. Company Client Terms

Fees and billing

• Subscription fees are charged in advance and are non-refundable except where required by law
• Success fees apply to placements sourced through the ExecFit AI marketplace
• No success fee applies to candidates you invited directly via the company invite tool. These are your own sourced candidates.
• Disputed fees must be raised within 30 days of the invoice date

Use of candidate data

• You must not use ExecFit scores as the sole basis for any employment decision
• You must comply with all applicable employment, equal opportunity, and AI hiring laws in your jurisdiction
• You must not attempt to identify anonymous candidates before an introduction has been formally accepted
• You must not share candidate data, reports, or scores with third parties outside your organisation
• Access to candidate data terminates upon subscription cancellation or account closure

6. Prohibited Uses

You agree not to:

• Reverse engineer, scrape, copy, or reproduce any part of the platform or its methodology
• Impersonate another person or organisation on the platform
• Upload false, fraudulent, or fabricated documents of any kind
• Use ExecFit data to discriminate against candidates on the basis of any protected characteristic
• Attempt to circumvent the introduction process or contact candidates outside the platform prior to a formal connection
• Use the platform for any purpose that violates applicable law

Violations may result in immediate account suspension and, where applicable, legal action.

7. Intellectual Property

• ExecFit AI owns the platform, codebase, methodology, scoring framework, archetype system, and Culture Intelligence framework
• You own your uploaded documents, personal data, and the content of your responses
• You grant ExecFit AI a limited, non-exclusive license to process your documents and responses for the sole purpose of generating your report and operating the matching service
• This license terminates when you delete your account
• The ExecFit archetype names, Culture Intelligence quadrant framework, and Dimension scoring methodology are proprietary and may not be reproduced without written permission

8. Employment Decisions

ExecFit AI is a decision-support tool. We are not a party to any employment relationship, contract of hire, or offer of employment facilitated through the platform.

ExecFit AI is not liable for any employment decision made by a company client, including decisions to proceed with or decline a candidate. All hiring decisions remain the sole responsibility of the company and its authorised representatives. Candidates are responsible for verifying the legitimacy of any company they engage with through the platform.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

ExecFit AI does not guarantee any particular outcome, including employment, successful placement, culture fit, or assessment accuracy. Reports are informational tools and should be interpreted by qualified professionals in context.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXECFIT.AI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM.

IN ALL CASES, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO EXECFIT.AI LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the state and federal courts located in Westchester County, New York. You consent to personal jurisdiction in those courts.
